Terms of Service

These Terms set the rules for accessing Reelpop, participating in our creator program, creating content, and receiving payouts.

These Terms of Service ("Terms") are a binding agreement between you and Reelpop Media LLC ("Reelpop," "we," "us," or "our"). They govern your access to and use of Reelpop's websites, creator platform, application and onboarding flows, content tools, and related services (collectively, the "Services").

1. Agreement to these Terms

By accessing or using the Services, creating an account, submitting an application, or clicking to accept these Terms, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services for a company or other organization, you represent that you have authority to bind it, and "you" includes that organization.

Project-specific terms, campaign briefs, payout terms, or written agreements may supplement these Terms. If they conflict, the more specific terms control for that project or campaign.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Services or participate in the Reelpop creator program. You may not use the Services if doing so would violate applicable law, if you are subject to applicable trade sanctions that prohibit the relationship, or if Reelpop previously suspended or terminated your access and has not authorized your return.

3. Accounts

You must provide accurate, current, and complete information and keep it updated. You may not impersonate anyone, create an account using false information, transfer your account without our permission, or allow another person to use it. You are responsible for activity under your account and for maintaining the confidentiality of your password and sign-in session.

Notify us promptly at info@reelpop.coif you suspect unauthorized access. We may require identity or account verification before granting access, changing payout information, or responding to a sensitive request. An application does not guarantee approval, access, assignments, or earnings.

4. The Services

Reelpop provides tools and workflows that may help eligible creators receive assignments, create or download slideshows and other content, manage social accounts, review posting schedules, communicate with project teams, track public performance, and view estimated earnings and payout records. We may add, remove, suspend, or change features at any time.

We do not promise that any feature, project, campaign, content format, or third-party integration will remain available. The Services may contain test, preview, or beta features that can be changed or discontinued without notice and may be less reliable than generally available features.

5. Creator program and independent status

If Reelpop approves you for creator or poster work, you may be offered projects or assigned content to post. Unless a separate written agreement expressly says otherwise, you choose whether to accept available work and are an independent contractor—not an employee, agent, partner, joint venturer, or franchisee of Reelpop or any brand. You have no authority to bind Reelpop or make commitments on our behalf.

You are responsible for your equipment, internet access, schedule, working methods, registrations, permits, insurance, and compliance with laws that apply to your activity. You are also responsible for complying with campaign instructions, intellectual-property and advertising rules, required disclosures such as #ad or paid-partnership labels, and the rules of each platform on which you post.

Unless Reelpop gives written permission, you may not buy views, followers, likes, comments, clicks, or other engagement; use bots or engagement farms; misrepresent performance; recycle a post for multiple paid assignments; or otherwise manipulate eligibility or metrics. We may reject or remove noncompliant content and withhold associated earnings where reasonably necessary to investigate fraud, duplicate payment, illegality, or a material breach of these Terms or campaign rules.

6. Earnings, metrics, and payouts

Rates, eligibility criteria, performance bonuses, measurement periods, payout timing, and other conditions may vary by project and will be shown in the Services, campaign materials, or another written communication. Estimates and dashboard balances are informational until Reelpop verifies eligibility, metrics, and any applicable adjustments. No minimum volume of work, views, engagement, or earnings is guaranteed.

Performance calculations may rely on public or third-party platform data. That data can be delayed, incomplete, revised, or unavailable. Reelpop may make reasonable corrections for reporting errors, refunds, invalid traffic, duplicate records, fraudulent engagement, or platform revisions. If you believe a calculation is wrong, contact us within 30 days after the relevant payout or statement and provide supporting details.

You must provide accurate payout details and are responsible for fees, conversion costs, bank charges, blockchain network fees, rejected transfers, or losses caused by details you provide, except to the extent caused by Reelpop's error. A cryptocurrency transfer generally cannot be reversed. Reelpop may set reasonable payout thresholds or batch payment dates and may delay a payment while verifying identity, ownership, compliance, or suspected fraud.

You are responsible for reporting and paying taxes arising from amounts paid to you. We may request tax documentation, withhold amounts when legally required, and report payments to tax authorities. Keep your payout and tax information current.

7. Content, permissions, and licenses

"User Content" means images, videos, text, prompts, comments, brand materials, account information, social posts, feedback, and other material you upload, submit, create, or make available through the Services. As between you and Reelpop, you retain ownership of User Content you already own.

You grant Reelpop a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, format, translate, create derivative works from, display, distribute, and otherwise use User Content as reasonably needed to operate, secure, improve, and provide the Services; administer projects; generate requested content; review compliance and quality; and fulfill our obligations to you, brands, and project collaborators. This license lasts while needed for those purposes, including reasonable backup, recordkeeping, and legal periods.

For content you publish or deliver as part of a paid project, the project brief or separate agreement may grant Reelpop, the relevant brand, or its partners additional rights to use, reproduce, edit, distribute, advertise, and display that content. Review the applicable project terms before accepting work.

You represent and warrant that you own User Content or have all rights, permissions, releases, and licenses necessary to submit and use it as contemplated by these Terms; that it is accurate where it states facts; and that it does not violate law or any person's privacy, publicity, intellectual-property, contractual, or other rights. You remain responsible for User Content and for reviewing content before publishing it.

If you send suggestions or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, and without identifying you.

8. AI-generated and assisted content

The Services may use artificial intelligence to generate or analyze text, images, captions, or other outputs. AI output may be inaccurate, incomplete, offensive, non-unique, or similar to content generated for others. You must review output for accuracy, suitability, required disclosures, and legal compliance before using or publishing it.

Reelpop does not promise that you will own AI output or that it is eligible for intellectual-property protection. You may not use AI features to infringe rights, create unlawful or deceptive material, submit confidential information you lack permission to share, or make decisions that produce legal or similarly significant effects on a person without appropriate human review.

9. Acceptable use

You may not use the Services to:

  • violate law, sanctions, platform rules, campaign requirements, or another person's rights;
  • upload malware or harmful code, probe or bypass security, interfere with operation, or overload the Services;
  • access another account, scrape or extract data except through features we provide, or use automated means without written permission;
  • reverse engineer, decompile, disassemble, copy, frame, resell, or create a competing service from the Services, except where law expressly permits it;
  • submit content that is fraudulent, deceptive, defamatory, exploitative, hateful, sexually explicit, unlawfully violent, or invasive of privacy;
  • spam, harass, threaten, impersonate, or collect information about another person without authorization;
  • circumvent usage limits, conceal your location or identity to evade eligibility rules, or create accounts to avoid enforcement; or
  • use the Services or output to train or improve a competing model or service without our written consent.

We may investigate suspected violations and remove or restrict content or access when reasonably necessary to protect the Services, users, brands, third parties, or Reelpop.

10. Third-party services and platforms

The Services may link to, rely on, or interact with third-party services such as TikTok, Meta, cloud hosts, AI providers, analytics providers, PayPal, banks, and digital-asset networks. We do not control those services and are not responsible for their availability, content, security, terms, policy changes, account actions, or losses. Your use of them is governed by their agreements.

Reelpop is not affiliated with, endorsed by, or sponsored by TikTok or any other platform unless we expressly say so. A platform may change its algorithm, data, monetization, or rules; limit reach; remove content; suspend accounts; or discontinue a feature. Reelpop does not guarantee any account's availability, reach, or performance.

11. Reelpop property and license to you

The Services—including software, interfaces, workflows, designs, branding, databases, documentation, and content supplied by Reelpop—are owned by Reelpop or its licensors and protected by intellectual-property law. Subject to these Terms, Reelpop grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable right to use the Services for their intended purpose during the term of your account. No other right is granted by implication or otherwise.

"Reelpop," our logos, and related names and designs are trademarks of Reelpop. You may not use them without prior written permission, except as necessary to accurately identify Reelpop as permitted by law.

12. Copyright complaints

If you believe material in the Services infringes your copyright, send a notice to info@reelpop.cocontaining: your physical or electronic signature; identification of the copyrighted work; identification and location of the allegedly infringing material; your name, address, phone number, and email; a statement that you have a good-faith belief the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the copyright owner. We may remove material and terminate repeat infringers where appropriate.

13. Suspension and termination

You may stop using the Services at any time and may request account closure by contacting us. We may suspend, restrict, or terminate access; remove content; or stop offering some or all Services if you breach these Terms, create risk or legal exposure, engage in suspected fraud or abuse, fail verification, remain inactive, or if needed for security, operations, or law. Where reasonable, we will provide notice, but we may act immediately when necessary.

Upon termination, your license to use the Services ends. Rights and obligations that by their nature should survive—including accrued payment obligations, licenses needed for delivered project content, ownership, disclaimers, liability limits, indemnification, disputes, and general terms—will survive. Termination does not excuse an existing violation or payment obligation.

14. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, OUTPUTS, ASSIGNMENTS, METRICS, AND INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE." REELPOP DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant uninterrupted, secure, or error-free operation; that defects will be corrected; that content or AI output is accurate, unique, or lawful; that third-party data is complete; that you will receive assignments or earn money; or that content will achieve views, engagement, approval, or any other result. You use the Services, publish content, and rely on metrics or output at your own risk.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you. Nothing in these Terms limits rights that cannot lawfully be waived.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REELPOP AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR BUSINESS; ACCOUNT OR CONTENT LOSS; OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE REELPOP PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT REELPOP PAID YOU IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot legally be limited, including liability for fraud or willful misconduct where applicable.

16. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless the Reelpop parties from claims, liabilities, damages, judgments, losses, and reasonable costs and attorneys' fees arising from or related to: your User Content; your social accounts or published posts; your breach of these Terms or project requirements; your violation of law or another person's rights; your taxes or independent-contractor obligations; or your fraud, negligence, or willful misconduct. Reelpop may control the defense of a claim, and you will reasonably cooperate. You may not settle a claim imposing liability or an admission on Reelpop without our written consent.

17. Disputes and governing law

Before filing a claim, you and Reelpop agree to try in good faith to resolve it informally for at least 30 days. Send a written notice describing the dispute and requested resolution to info@reelpop.co. This requirement does not prevent either party from seeking urgent injunctive relief or filing in small-claims court where eligible.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Subject to the informal process above, you and Reelpop consent to the exclusive jurisdiction and venue of the state and federal courts located in Pinellas County, Florida. If your local law gives you mandatory consumer protections or a right to bring a claim in another forum, this paragraph does not override those rights.

18. Changes to the Services or these Terms

We may update these Terms from time to time. We will post the revised version and update the effective date. If a change is material, we may provide additional notice through the Services or by email. Unless we say otherwise, updated Terms take effect when posted. If you do not agree to an update, you must stop using the Services. Continued use after the effective date constitutes acceptance to the extent permitted by law.

19. General terms

These Terms, the Privacy Policy, and any applicable specific terms are the entire agreement between you and Reelpop about the Services and replace prior discussions on that subject. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue in effect.

You may not assign these Terms or your account without our written consent. Reelpop may assign these Terms in connection with an affiliate, financing, merger, acquisition, sale of assets, reorganization, or by operation of law. We are not liable for delay or failure caused by events beyond our reasonable control. Headings are for convenience only. The words "including" and "such as" mean "including without limitation." Electronic notices and records satisfy any writing requirement to the extent permitted by law.
